TERMS AND CONDITIONS: SUBSCRIPTIONS

Terms and conditions for Oriel Square Limited’s subscription services. Oriel Square Limited’s registered office is at c/o Critchleys LLP, Beaver House 23–38 Hythe Bridge Street Oxford OX1 2EP and whose office address is 29 Beaumont Street, Oxford, OX1 2NP (“the Company”).

These are the Terms and Conditions of your subscription to Education Insights subscription services from Oriel Square Ltd. Please read them carefully as they affect your rights and liabilities under law and set out the terms under which Oriel Square Limited (“we” or “us”) makes subscriptions available to you. These terms will be subject to any rights you may have under consumer law to which we are bound and which cannot be waived by contract. 1. Publication details

The Education Insights service is a quarterly publication delivered digitally. These Terms and Conditions were last updated on 03 August 2023. Oriel Square Limited (“The Publisher”) may change, alter or withdraw any part of Education Insights subscription services Content (Education Insights Content) at any time (with or without notice) and may also change the Terms and Conditions.

2. Subscription and Access

The Education Insights subscription service is accessible only to paying subscribers. A subscription entitles you to receive a digital copy of each Education Insights quarterly report and access to Oriel Square events at a discounted price for the duration of your subscription.

Your subscription is personal to you and is non-transferable, except where you buy a subscription in someone else’s name as a gift, which you can do by nominating a different delivery name and address. In that case, the subscription is personal to that person and non-transferable by them, but you remain bound by these terms and conditions as the contracting party.

Permitted Use

All Education Insights Content belongs to The Publisher. The Publisher owns all intellectual property rights (including copyright and database rights) in Education Insights Content and any selection or arrangement of the Education Insights Content. You may only use Education Insights Content in your personal ‘at work’ capacity by:

  • retrieving and displaying Education Insights Content on any compatible device.
  • printing the report on paper.
  • storing the report in electronic form on disk or on a mobile device (but not on any server or other storage device connected to a network).

Restrictions on Use

Except as expressly set out above, you may not copy, reproduce, publish, broadcast, transmit, modify, adapt, create derivative works of, store, archive, publicly display or in any way commercially exploit any of the Education Insights Content. Without limitation, you may not do any of the following without prior written permission from The Publisher:

  • redistribute any of the Education Insights Content (including by using it as part of any syndication, content aggregation, news aggregation, library, archive or similar service).
  • remove the copyright or trademark notice from any copies of Education Insights Content made under these Terms and Conditions.
  • create a database in electronic or structured manual form by systematically and/or regularly downloading/printing and storing all or any of the Education Insights Content; or deep link to, frame, harvest or scrape the Education Insights Content or otherwise access the Education Insights Content for similar purposes.
  • use any machine, electronic, web-based or similar device to read or extract the Education Insights Content by automated or machine-based means.

At Work Use

If you are using Education Insights Content in an ‘at work’ capacity and your use extends beyond personal commercial use then you should contact The Publisher at education.insights@orielsquare.co.uk to discuss your business requirements, since it is possible that your use of Education Insights Content extends beyond what is permitted by these Terms and Conditions. In particular, all requests to republish, redistribute or syndicate Education Insights Content, whether headlines, full text articles (or parts thereof) or the right to use Education Insights Content internally within your business (for example, as part of a regular information dissemination service or on a company Intranet) or any external use that you may make (for example, within client reports or briefings) should be addressed to us, as such use falls outside the scope of use permitted by these Terms and Conditions.

3. Privacy Policy

All information received by you from your use of Education Insights Content will be used by The Publisher in accordance with our Privacy Policy.

4. Warranties and Limitation of Liability

Education Insights Content is only for your general information and use and is not intended to address your particular requirements. In particular, Education Insights Content does not constitute any form of advice, recommendation, representation, endorsement or arrangement by The Publisher and is not intended to be relied upon by users in making (or refraining from making) any specific investment or other decisions. Appropriate independent advice should be obtained before making any such decision. Any information that you receive via Education Insights Content, whether or not it is classified as ‘real time’, may have ceased to be current by the time it reaches you and share price information may be rounded up/down and therefore not entirely accurate. The Publisher is not responsible for any use of the Education Insights Content by you outside its scope as stated in these Terms and Conditions.

5. Third Party Sites and Services

Education Insights Content may contain links to other websites or online and mobile services provided by independent third parties (“Third Party Sites”), either directly or through frames. The Publisher is not responsible for the availability or content of Third Party Sites.

6. Education Insights Subscription Service

General

The Publisher operates the Education Insights subscription service (“Paid for Service”). By subscribing to receive this Paid for Service, as well as the above Terms and Conditions, you are also agreeing to the terms in this section. You agree to pay any subscription fees at the rates in effect when the charges are incurred. If we do not receive payment we may immediately terminate or suspend your access to the Paid for Service. The Publisher reserves the right to suspend or terminate your subscription to the Paid for Service if you breach these Terms and Conditions, with or without notice and without further obligation to you.

Pricing

The subscription price is for an annual subscription to the Paid for Service and The Publisher reserves the right to vary the price from time to time. VAT will be charged as appropriate. The Publisher will issue a renewal notification via email before the expiry of your subscription period, after which you will have 14 business days to cancel the renewal before an invoice is issued. The standard terms of payment for a subscription to the Paid for Service are 30 days.

Cancelling or Changing Your Subscription

You may cancel or make amendments to your subscription at any time by contacting The Publisher at: education.insights@orielsquare.co.uk. Any cancellation will be effective once The Publisher receives notice of it and the term of the purchased subscription has expired.

7. Choice of Law and Jurisdiction

These Terms and Conditions shall be governed by, and construed in accordance with, English law.

Education Insights is published by Oriel Square Limited; Registered Address: Oriel Square Limited, C/O Critchleys LLP, Beaver House, 23-38 Hythe Bridge Street, Oxford, OX1 2EP, UK; Company Number 10796174. Oriel Square Limited may assign its rights and obligations under these Terms and Conditions to any other company.

9. Changes to Terms and Conditions: Subscriptions 

These Terms and Conditions: Subscriptions were published on 05 September 2023 and replace with immediate effect all Terms and Conditions: Subscriptions previously published.
